Terms and Conditions: Lifespring Health Rewards™ Program

The following Terms and Conditions apply to the Lifespring Health Rewards™ Program (the “Program”), and include provisions relating to eligibility for enrollment, Rebate accrual, redemption of Rebates awarded and other important conditions and limitations. Please read these Terms and Conditions carefully. Any use of the Lifespring Health Rewards Program will constitute your acknowledgement of and agreement with all of the provisions specified below.

As used in these Terms and Conditions, “you” and “your” refer to any individual (“Member”) who makes purchases through the Lifespring Rewards merchant network (“Network”) and/or has opened a Lifespring Health Rewards™ credit card account. “Credit Card” means the Lifespring Health Rewards™ credit card issued for your Account.

1. Eligibility is restricted to individuals who are U.S. residents, 18 and older (19 in AL and NE). No machines, scripts, or automated services may be used to accumulate any financial benefits derived from the use of Lifespring Health.

2. Purchases from Network Partners - You will earn points (“Points”) each time you shop at a participating Lifespring Health Rewards merchant network partner (“Partner”).  Each Partner will have a rebate percentage in conjunction with net purchases made from the Partner.  You will earn up to a fifteen percent (15%) rebate on net purchases from Partners.  Each one (1) dollar in rebates converts to one (1) Point.  Current Partners and the applicable rebate percentages are listed at www.lifespringhealth.com.

3. Lifespring Health Credit Card - You will earn rebates on almost all net purchases made with your Lifespring Health Credit Card.  When you reach one hundred dollars ($100) in rebates, the rebates will be transferred from your Lifespring Health Credit Card to SHC, where the $100 in rebates will be converted into one hundred (100) Points. 4. The amount of Lifespring Health points earned will be updated monthly on your member account statement. The Lifespring Health points you accrue, as a result of qualifying purchases, will generally be posted to your Lifespring Health program account within sixty (60) days of notice from the partner retailer or from the partner credit card provider. Lifespring Health will not be liable for damages resulting from any failure to post Lifespring Health points to your Lifespring Health account in a timely manner.

5. Any discrepancies in your account balance of Lifespring Health points must be brought to Lifespring Health’s attention promptly, but in no event later than ninety (90) days from the date of the transaction for which an adjustment is sought. Otherwise, your account balance of Lifespring Health points will be deemed accurate and you will have waived all claims for adjustment.

6. Your Lifespring Health points are redeemable through Lifespring Health for health related products or services. You may redeem a maximum total of ten-thousand (10,000) Lifespring Health points in any single year. Unused Lifespring Health points expire two (2) years from the date they are credited to a members account.

7. Lifespring Health reserves the right to alter or change these Terms and Conditions and to alter, change and/or terminate the Program at any time. Lifespring Health will provide written or electronic notice to you of any changes affecting outstanding Rebates. In addition, Lifespring Health reserves the right to disqualify the member account if there has been a violation of these Terms and Conditions, as they may be changed from time to time.

8. Rebates are not transferable. Lifespring Health points can only be used against the future purchase of Lifespring Health products and services by the member originally credited the Lifespring Health points. Furthermore, members are not considered to own the Lifespring Health points credited to their account and the Lifespring Health points have no value or use outside of the Lifespring Health program.

9. Lifespring Health program partners may impose conditions or restrictions different from or in addition to those described on the Lifespring Health website.

10. Lifespring Health is not responsible for the content, policies, product delivery, product, service and procedures of any website that may be linked to or from this website. These links are provided for your convenience and you access them and make purchases at your own risk. Any other website accessed from this website is independent from Lifespring Health and Lifespring Health has no control over the content, policies, and product of that other website. In addition, participation of other websites in the Lifespring Health program does not imply that Lifespring Health endorses or accepts any responsibility for that website.

11. This service is provided on an “as is” basis and without express implied warranties of any kind, including but not limited to implied warranties of merchantability and warranties of titles. We make no warranties as to the quality, accuracy, completeness or validity of any materials related to the service and do not warrant that the functionality of such service will be uninterrupted or error-free, that defects will be corrected, or that such service or the services that makes it available are free of viruses or other harmful components.

12. Lifespring Health or any contributing partner, or service provider or any of their respective officers, directors, employees, agents, successors, or affiliates are not responsible or liable for any incidental, consequential, punitive, special or other indirect damages or for loss of profits, loss of data, or loss of use, that result from the use of or the inability to use, the service, information contained on the Lifespring Health website or available through the Lifespring Health operations center, or any products or services offered by Lifespring Health’s partners or suppliers in conjunction with the service. In no event will Lifespring Health’s total liability to you from all damages, losses and causes of action resulting from your use of the Lifespring Health program or website or any other offered service, exceed the redeemable value of the participant's Lifespring Health account.

13. Lifespring Health shall not be liable for any bodily harm, damage or other loss to person or property or any expense, accident or inconvenience of any type or nature that may result from your participation in the Program.

14. You are responsible for determining any tax liability for your Lifespring Health Rewards Program Account.

15. The Program is void where prohibited by federal, state or local law.

16. Lifespring Health reserves the right to change the benefit features associated with the Lifespring Health Rewards™ program.

17. Information Sharing - Lifespring health may share a member's personal information with entities with whom it contracts to assist in administering the program from time to time. Currently, Lifespring Health has contracted with SHCDirect, L.L.C. for this purpose.

18. Limitations on Special Offers & Promotions
(a) Bonus rewards for New Member after joining Lifespring Health. Each new Lifespring Health member during specified promotional period may receive up to (5) dollars upon completing the membership registration form required to become an active Lifespring health member. Offer limited to one bonus reward offer per qualifying account.
(b) Bonus for Inviting Friends and Family to join Healthy Rewards Team. A member may earn (5) dollars for each family and friend they refer to become a Lifespring Health member and join their Health Rewards Team. The maximum amount a member may earn in Reward Team referral cash back is (30) dollars. A member may only earn (5) dollars the FIRST time each of the six (6) slots are filled. If a teammate chooses to leave your Healthy Rewards Team, you may not receive an additional (5) dollars for refilling the slot by inviting a new member.
(c) Distribution of Bonus Rewards. The Lifespring Health points you accrue, as a result of bonus cash reward points from qualifying promotions, will generally be posted to your Lifespring Health program account within 14 days but may take up to sixty (60) days to verify.

19. By agreeing to these terms, you also agree not to 'spam' unknown individuals by sending them unwanted emails to solicit their membership at Lifespring Health. Refusal to abide by this or any other rules may result in Lifespring Health stripping you of referrals and/or canceling your membership.

Lifespring Health is not in the business of selling member information. We promise to only use your e-mail or personal contact information to inform you about special offers, changes and updates.
